The areas of the law in which our attorneys practice:
General Civil and Appellate Litigation. One of the firm’s largest practice areas is its general civil and appellate litigation practice. Our attorneys are well-versed in district court and appellate procedure and litigation or disputes arising in local, state and federal courts, agencies and boards, inclusive of arbitrations under AAA Commercial Rules of Arbitration, American Health Lawyers Association, and NASDQ rules. Our practice in this area naturally bleeds over into other more specific areas of litigation referenced below (such as insurance, banking, commercial and employment litigation). In addition to our specific areas of litigation, our attorneys also handle disputes relating to real estate, contractual relations, defamation (slander and libel), warranty claims, landlord/tenant and small claims proceedings, ad valorem tax disputes and the like. As for our appellate work, the firm is proficient in handling, prosecuting and defending general appeals, interlocutory appeals, writ applications and certiorari requests.
Insurance Law and Litigation. In our practice we prosecute and defend cases involving the wrongful denial of insurance (bad faith denial of coverage or defense), personal injuries, claims for medical or professional malpractice, toxic torts, products liability, wrongful death and other tortious acts occurring to individuals. Over the years our firm has handled, prosecuted and defended numerous personal injury matters ranging from injuries due to automobile accidents or medical negligence to injuries stemming from products liability or the improper handling or storing of toxic substances. Our attorneys are well-versed in Oklahoma’s insurance laws and well-experienced in dealing with insurance companies and governmental agencies to obtain the maximum results for our clients.
Banking, Commercial & Bankruptcy Law and Litigation. The firm represents lenders and commercial enterprises in Oklahoma and abroad, assisting them with a wide array of issues ranging from general business decisions to drafting agreements and other commercial documents. In the banking arena, the firm assists in loan securitization, debt financing and instrument drafting, loan evaluation and collection litigation. As a result of this practice, our attorneys are well-versed in the Uniform Commercial Code and other laws and regulations governing both commercial and consumer transactions. We also represent creditors in bankruptcy, not only in the preservation of claims, but also in obtaining reaffirmation of debts, retrieval of secured collateral through stay relief, prosecuting objections to claims for exemption, discharge and debt dischargeability, and defending against proceedings to recover voidable transfers.
Labor & Employment Law and Litigation. The firm represents claimants and defendants in actions involving violations of employee rights guaranteed by state and federal constitutions and labor and employment laws and regulations. Issues handled in the past involve the Fair Labor Standards Act (Wage and Hour claims such as failure to pay overtime or minimum wage), the Family and Medical Leave Act, Equal Pay Act, Title VII of the U.S. Code (claims such as violations of individual civil rights including sexual harassment, pregnancy, race and religious discrimination), as well as age and disability discrimination. We offer advice to both employers and employees on an as-needed basis involving a variety of workplace and employment issues, and we attempt to assist in our clients’ employment decisions or demands to best serve their interests within the limits allowed by law.
Wills, Trusts, Estate Planning & Probate. In the area of estate planning our emphasis is to assist our clients in formulating a plan for their futures which will best protect their assets to the fullest extent allowed by law. This involves preparation of all instruments (such as wills, trusts, advance directives to physicians, powers of attorney, etc.), preparing transfer instruments and effectuating the transfers. Estate plans are modeled to the person or family for which they are drawn since persons and families come in all shapes and sizes. Therefore, we evaluate our clients' needs and offer a determination of what is best for them and their families and, for instance, whether a living revocable trust, an irrevocable life insurance trust, a bypass trust, a charitable remainder trust, a charitable lead trust, a marital trust, a qualified terminable interest property trust, a generation skipping trust or a special needs trust is what the circumstances call for. Don and Jack Herrold, both members of the firm, are also members of the Legal Services Network of AARP (American Association of Retired Persons), and we offer to AARP members a 20% discount for our estate planning services and a free initial consultation. In addition to estate plans, our firm regularly handles ancillary or domiciliary probate proceedings, trust actions, and actions involving guardianships, conservatorships and intestate administrations.
Real Estate Transactions & Debt Financing. Our firm has extensive experience in large real estate transactions. Having represented Oklahoma’s largest developer, largest mortgage lender and several large commercial real estate and property management companies during the past years, no transaction is too small or too large for our attorneys to handle. We stand ready to represent clients from the planning and acquisition phases through the closing of the transaction. We are also experienced in facilitating the financing of these transactions involving large credit facility agreements to home loans and mortgages. Our experience in representing both financial institutions and individuals and businesses as borrowers is most helpful in obtaining your individual objective. Besides this substantial work involving real estate transactions, our attorneys also are skilled in examining abstracts and rendering opinions as to the title of a parcel of property, to facilitate the closing of your transaction.
Business Organization & Transactions. Whether you should form a sole proprietorship, a joint venture partnership, or limited partnership, or whether you may enjoy the benefits of a limited liability company or partnership, professional limited liability company or partnership, a professional corporation, a corporation or other means of organizing a client’s business, we can help with those decisions. Our focus is upon analyzing our clients’ needs to determine the best organizational platform from which their thoughts, ideas and dreams can flourish. Our firm also prepares the documentation required for formation of business organizations, as well as the necessary contracts to provide for continued success of your organization, from stockholder, intellectual property and employment agreements to stock or unit redemption agreements, securitization agreements, to securing appropriate IPO counsel for handling initial public offerings for your business organization, if needed. Our firm is capable of preparing any financing agreement and collateral documents needed to serve your organization’s best interests.
Admiralty and Maritime Issues. Though Oklahoma is a land-locked state, our attorney David Herrold has represented both national and international clientele in admiralty/maritime actions arising within Oklahoma or involving Oklahoma obligors. From attachment proceedings to in rem proceedings, our firm can assist with any admiralty or maritime issue our clients may encounter.
